NON-DISCLOSURE & NON-CIRCUMVENTION
DSS acknowledges that it is the policy and practice of DSS to maintain as secret and confidential any and all information related to its’ clients and their businesses and developmental projects and agrees that it will not discuss any of the Client’s businesses or developmental projects with anyone except those parties that are bona fide and credible financial institutions or entities that can reasonably be expected to be capable of providing the desired financing for the Client.
During the term of this agreement, the Client to this Agreement may learn from DSS, or from principals, the names and telephone numbers of investors, borrowers, lenders, agents, brokers, banks, lending corporations, individuals and/or trusts, or buyers and sellers hereinafter called contacts. The Client acknowledge, accept, and agree that the identities of the contacts will be recognized by the Client as exclusive and valuable contacts of the DSS and will remain so for the duration of this agreement, breach of said agreement may raise a claim;
The Client agrees to not disclose or to utilize or attempt to utilize any of the contacts and sources of finance that they shall become aware of through this Agreement either for their own purposes or for any other entity and that if there should be any breach of this Agreement that DSS would be damaged financially and that DSS would have reason to seek mitigation of this damage from the Client.
The Client agree to keep confidential the names of any contacts DSS. Client may not reveal any of these to any other firm, company, associates, corporations, joint ventures, partnerships, divisions, Subsidiaries, employees, agents, heirs, assigns, designees, or consultants. Client accepts not to contact, deal with, negotiate, or participate in any transactions with any of the contacts without first entering a written agreement with DSS who provided such contact unless DSS gives prior written permission. Such confidentiality will include any names, addresses, telephone, telex, facsimile numbers, and/or other pertinent information disclosed or revealed to the client;
Both parties to this Agreement agree that certain information that is in the public domain shall not form a basis of claim by either party. Any past or current relationships the Client may have with a Bank, Insurance Client, Hedge Fund, Thrift Fund, or similar financial institution within the public domain, does not serve as a basis to exclude payment of consulting fees due to DSS from the Client.
